1. ELIGIBILITY: The "Win a Darby Scott Amber Bib Necklace" SWEEPSTAKES IS OPEN ONLY TO INDIVIDUALS WHO ARE LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA AND ARE TWENTY-ONE (21) YEARS OF AGE OR OLDER AT THE TIME OF ENTRY.

Employees of VIV Publishing, LLC, and any of its affiliate companies, subsidiaries, agents, and advertising and promotional agencies, as well as the immediate family members (spouse, parents, siblings, and children and their spouses) and persons living in the same households of each of the above, are not eligible to enter or win a prize.

Any person who has been selected as a prizewinner and agreed to accept such prize in any sweepstakes or contest sponsored by Sponsor during the six (6) month period immediately preceding the start date of this Sweepstakes is ineligible to win a prize in this Sweepstakes. The Sweepstakes is subject to all federal, state, and local laws and regulations and is void in Rhode Island and outside the 50 United States and the District of Columbia and where prohibited by law.  
 
2. SPONSOR: The Sweepstakes is sponsored by VIVmag (a division of VIV Publishing LLC), 375 Greenwich Street, Suite 829, New York, NY 10013 ("Sponsor"). 
 
3. AGREEMENT TO OFFICIAL RULES: Participation in the Sweepstakes constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein in a timely manner.

4. ENTRY PERIOD: The Sweepstakes begins on Nov. 1, 2009 at 12:00 a.m. Eastern Daylight Time ("EDT") and ends on Dec. 31, 2009 at 12:00 noon Eastern Standard Time ("EST") when all entries must be received (the "Entry Period"). 
 
5. ENTRY: To enter, the Sweepstakes entrants must log on to http://vivmag.com and provide their contact information. All entries become the property of Sponsor and will not be acknowledged or returned. By providing your e-mail address, you grant Sponsor the right to send you commercial messages and share your address with others, unless specified otherwise as indicated on the entry form.

6. NO PURCHASE NECESSARY.

7. THERE IS A LIMIT OF ONE (1) ENTRY PER PERSON, REGARDLESS OF METHOD OF ENTRY. Any use of bots, agencies or robotic, repetitive, automatic, programmed, or similar entry methods will void all entries by that entrant. Entries that are late, incomplete, stolen, unreadable, inaccurate, unintelligible, delayed, misdirected, undelivered or otherwise not in compliance with these Official Rules will be disqualified.

8. DRAWING: On or about Dec. 31, 2009 after 12:00 noon EDT, Sponsor will select one (1) potential winner in a random drawing of all entries received. Odds of winning depend on the number of eligible entries received. Sponsor will attempt to notify the potential winners within seven (7) days of the drawing. If a potential winner cannot be contacted within seven (7) days after the first attempt to contact him/her, Sponsor will select an alternate potential winner in his/her place at random from all entries received.

9. REQUIREMENTS OF THE POTENTIAL WINNER: Potential Winner must submit an Affidavit of Eligibility / Release of Liability / Prize Acceptance Form (including the person’s Social Security number) within seven (7) business days of notification. If any prize or affidavit or release is returned to Sponsor as undeliverable or if Sponsor does not receive a response from any potential Winner within seven (7) business days of attempted notification, such Winner may be disqualified in Sponsor’s sole discretion and such Prize will be awarded to an alternate Winner in accordance with these Official Rules. Non-compliance shall result in disqualification and award of the prize to an alternate Winner.
  
10. PRIZES: One (1) winner will receive a Darby Scott Amber Bib Necklace (a $450 value). Each prize is nontransferable and non-refundable and must be accepted as awarded. No cash or other substitution may be made, except by Sponsor, which reserves the right to substitute a prize with another of comparable value. Winners are responsible for all taxes associated with receipt of prize.
  
11. GENERAL CONDITIONS: Sponsor reserves the right to cancel, suspend, and/or modify the Sweepstakes (or any portion of the Sweepstakes) if any fraud, or other technical problem corrupts the administration, security, or proper play of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prize at random from among the eligible entries received up to the time of the impairment or in such manner as deemed fair and appropriate by Sponsor. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 
  
12. LIMITATIONS OF LIABILITY: The Sponsor, its affiliated companies, advertising and marketing agencies, and each of their employees, officers, directors, shareholders, representatives, and agents (“Releasees”) are not responsible for: (a) any inaccurate information, whether caused by entrants or printing errors; (b) unauthorized human intervention in any part of the Sweepstakes; (c) technical failures of any kind, including, but not limited to, electronic malfunctioning of any network, hardware or software; (d) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (e) lost, delayed, misdirected, or undeliverable entries or mail; or (f) any injury or damage to persons or property including, but not limited to, death, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use of any prize. Releasees have not made and/or are not responsible for any misrepresentation or guaranty, express or implied, in fact or in law, relative to the prize. Winner agrees and acknowledges that Sponsor may use Winner’s name, likeness, picture, biographical information and city name for promotional purposes in any media without additional compensation, except where prohibited by law.
  
13. DISPUTES: Except where prohibited, entrant agrees that: (a) any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration conducted under the Rules of the American Arbitration Association; (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys' fees; and (c) entrant waives the right to claim any other damages whatsoever, including, but not limited to, punitive, exemplary, consequential, incidental, direct, or indirect damages. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant's rights and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
  
14. PRIVACY POLICY: Information collected from entrants is subject to the Privacy Policy of the Sponsor found at http://vivmag.com.
  
15. OFFICIAL RULES AND WINNERS’ NAMES: To obtain Sweepstakes results (including a list of winners) (available after Dec. 31, 2009) and/or a copy of these Official Rules, send a self-addressed, stamped envelope to VIVmag, 375 Greenwich Street, Suite 829, New York, NY 10013. Such requests must be received by Jan. 31, 2010. Vermont residents may omit return postage.
